VAT deregistration in the UAE is the formal process of cancelling a VAT registration when the applicable conditions are met. It may become relevant when a business closes, stops making taxable supplies, changes its activities or has a sustained fall in taxable turnover.
Stopping operations or cancelling a trade licence does not itself cancel a VAT registration. The business must review its status, apply through the official process where required, and complete the final return, payment and record obligations.
Important deadline note: the current FTA service page and published Executive Regulation show different mandatory-application periods. The deadline section below explains the 20/30-business-day discrepancy. Do not rely on the longer figure without confirming the position with the FTA.
What Is VAT Deregistration?
VAT deregistration cancels a person's VAT registration from the effective date determined or accepted by the Federal Tax Authority. It is an official tax process, not merely an internal accounting decision.
The business may still need to file its final and outstanding returns, pay VAT, settle administrative penalties, review credits or refunds and retain records. An application reference or preliminary status is not the same as completed deregistration.
Confirm the effective date and completion status in the official EmaraTax account. Keep the final certificate and the underlying evidence together so the business can explain its position later.
When Does Deregistration Become Relevant?
Common situations to review include:
- The business has genuinely ceased making taxable supplies.
- Relevant taxable supplies over the applicable 12-month period have fallen below the voluntary registration threshold.
- The business continues trading below the mandatory threshold and wishes to consider a voluntary application.
- Activities have changed so the business makes only exempt or out-of-scope supplies.
- A sale, liquidation, restructuring or licence cancellation changes the registration position.
These are reasons to assess the rules, not automatic approvals. Review the legal person, all relevant activities and expected supplies or taxable expenses. A temporary pause, one quiet month or a single branch closure does not necessarily establish that the whole registrant should deregister.
Mandatory VAT Deregistration
The VAT Law identifies cessation of taxable supplies and a fall below the voluntary threshold over 12 consecutive months as deregistration cases, subject to its conditions. In the low-turnover case, expected supplies or taxable expenses can affect the position.
Review the forward-looking tests as well as historical turnover. For cessation, examine whether taxable supplies are expected to resume; for a low-turnover case, assess the relevant forecast and expense conditions. Do not use sales alone as a complete eligibility assessment.
Example: if a company stopped taxable activities on October 1, 2026, it should establish when the relevant obligation arose and act promptly. That date is already past as of this article's publication. A later licence cancellation or management meeting does not automatically restart the application clock.
Voluntary VAT Deregistration
A registrant with taxable supplies below AED 375,000 over the relevant previous 12 months may be able to request deregistration while continuing to trade. The applicable conditions and the FTA's decision still matter.
The VAT Law, Articles 21-23 distinguishes mandatory cases from a voluntary application and includes a 12-month restriction for persons registered voluntarily. Check its application to your circumstances; do not assume a new voluntary registration can immediately be cancelled.
Where closure occurs during that period, obtain case-specific clarification rather than assume either that an application is automatically permitted or that a mandatory obligation can safely be ignored. Keep monitoring and complying with the registration while the position is resolved.
Thresholds Relevant to Deregistration
| Threshold | Amount | Why it matters |
|---|---|---|
| Mandatory registration | AED 375,000 | Relevant to an eligible voluntary cancellation request |
| Voluntary registration | AED 187,500 | Relevant to low-turnover mandatory cases, subject to the other tests |
The FTA registration overview confirms these threshold amounts. There is not one universal cancellation threshold that replaces all cessation, residence, turnover, expense and approval requirements.
For the underlying registration tests, read our October Week 3 article, VAT Registration Threshold UAE 2026. A low-turnover deregistration review should consider the relevant 12-month window and the applicable forward-looking conditions, not just one month's sales.
Application Deadline: Official Sources Differ
At the November 2, 2026 source check, Article 14(1) of the published Executive Regulation states 20 business days for applying when a deregistration case arises. The consolidated text includes the amendments effective October 1, 2026. See the current published Executive Regulation.
However, the FTA deregistration service page, marked updated September 24, 2026, states 30 business days in its mandatory-application terms. That is a discrepancy between the published sources, not a confirmed extension that this article can resolve.
Practical approach: act promptly, use the earlier 20-business-day point for conservative planning, and confirm the applicable statutory deadline with the FTA or an appropriately qualified adviser. Do not wait for the later period or treat this article as deadline clearance. Retain any case-specific written clarification.
| Item | Published timing | Important distinction |
|---|---|---|
| Mandatory application | 20 business days in Article 14; 30 on the service page | Source discrepancy: seek confirmation and do not rely on the longer period |
| FTA application review | 30 business days from a completed application | Service estimate, not a filing extension or guaranteed approval |
| Final return and VAT payment | 28 days after the effective deregistration date | Check the official due date and any applicable non-business-day rules |
Business days are not the same as calendar days. Confirm the trigger date, relevant working days and any applicable holidays rather than adding a fixed number to the date you happen to read the guidance.
Deregistration After Business Closure
A licence cancellation, liquidation, sale or restructuring should trigger a separate VAT review. Establish which person is registered, what activities actually ceased and what obligations remain.
For example, selling a business or changing its legal form may involve a continuing activity under another person. Closing one licence or branch does not necessarily mean every activity of the existing registrant has stopped.
Prepare appropriate closure evidence and reconcile the VAT position with the accounting records. Do not discard invoices, contracts, import records, bank evidence or asset schedules because commercial operations have ended. Corporate Tax and other closure obligations are separate from VAT deregistration.
Businesses Below AED 187,500
Example: a VAT-registered business has AED 150,000 of relevant taxable supplies over the preceding 12-month period and remains active. This is below AED 187,500, but that sales figure alone does not establish the complete deregistration position.
Review qualifying taxable expenses, expected supplies or expenses in the relevant future period, existing activities and the other applicable conditions. Support the figures with the ledger, VAT returns, contracts and a reasonable forecast.
The FTA may request a turnover template, financial information and a declaration about future activity. Provide accurate evidence rather than assume a decline in sales guarantees approval.
Only Exempt or Out-of-Scope Supplies
A genuine change to exclusively exempt or out-of-scope activity can be relevant. The FTA service page lists such situations among its documentary scenarios.
Check the nature and place of the supplies carefully. Zero-rated supplies are still taxable supplies; they must not be confused with exempt supplies simply because no standard-rate VAT is charged to the customer.
Mixed activities, imports, overseas arrangements and any remaining UAE taxable activity require a full review. Keep evidence of the supply chain and transaction classification where relevant.
VAT Deregistration Process Through EmaraTax
Use the official EmaraTax portal. The taxpayer or a properly authorized representative should submit the application. The steps below are an overview; portal labels and account permissions can change.
Step 1: Access the Official Account
Use the account associated with the registered person and the authentication required by the official portal. Do not share passwords, one-time codes or UAE Pass access with a private consultant.
Step 2: Select the Correct Taxable Person
Check the legal name, TRN and existing status. A consultant's client list, a branch name and the registered legal person are not interchangeable.
Step 3: Open the VAT Area
Review the registration details, outstanding returns and account balances. Check any prior applications before creating another request.
Step 4: Choose the Deregistration Action
The published service instructions refer to the VAT Actions menu and the De-Register option. Read the current on-screen requirements before proceeding.
Step 5: Identify the Correct Reason and Dates
Select the applicable basis, such as cessation, the relevant low-turnover case or another supported reason. Explain what actually happened and why the requested effective date is appropriate; the FTA determines or accepts the effective date.
Step 6: Prepare the Financial Information
Complete the required supplies, expenses and forecast information. Reconcile it to the accounts and VAT returns, and explain differences rather than forcing inconsistent figures to match.
Step 7: Attach the Required Evidence
Upload the documents for the actual application basis. Confirm signatures, authority, current templates and accepted file requirements using the official service.
Step 8: Review, Submit and Monitor
The authorized person should review the declaration and submit the application. Save the reference, respond to FTA requests and continue handling returns and payments when due. A draft or pending application does not by itself end compliance obligations.
Profitrack is a private accounting consultancy, not an FTA-registered tax agent. We provide records and document-preparation support, not formal tax-agent representation. Where that representation is needed, verify and appoint a provider separately using the official registered tax-agent directory.
Documents to Prepare
The required evidence depends on the legal person and reason for the application. The official service describes different documents for cessation, turnover-based applications and other situations. Relevant records may include:
- Cancelled or amended trade licence and evidence of the actual cessation date.
- Liquidation documents, board resolution or sale documents, where applicable.
- Financial statements, trial balance, profit and loss account and balance sheet.
- The current turnover/expense template and a reconciliation to filed VAT returns.
- A supported declaration about expected supplies or expenses.
- Supply-chain information, contracts and sample invoices for exempt or out-of-scope cases.
- Relevant sole-establishment, branch or signing-authority declarations.
Do not assume every applicant needs every item. Check the official list and any FTA request for your case. Use the official portal for sensitive records, not a public enquiry form or an unsolicited message.
Processing Time and Fees
The FTA service is listed as free. Any separately agreed private accounting or advisory fee is not an FTA service charge and cannot purchase an approval.
The published review estimate is 30 business days from receipt of a completed application. Further information can lead to further review time. This estimate is separate from the disputed mandatory-application period and does not guarantee a completion date.
Keep a record of requests, responses and account statuses. Preparing early gives the business time to resolve missing documents and differences in the figures.
Final VAT Return and Payment
The FTA service states that the final return and any VAT payable are due within 28 days of the effective deregistration date, which ends the final Tax Period. Check the actual due date in the official account and applicable deadline adjustments.
The clock does not simply start when a consultant sends an update or a certificate is downloaded later. For an illustrative effective date of November 15, 2026, confirm the final-period deadline rather than using the date the business happens to receive the approval message.
Include relevant transactions up to the effective date and review required adjustments. In particular, remaining business assets can give rise to deemed-supply VAT under the applicable rules. Review stock, assets and earlier input-tax recovery; stopped trading does not automatically mean a nil final return.
File outstanding returns, review the final calculation and check that payments are correctly allocated. Read our VAT compliance guide for the supporting reconciliation workflow.
Certificate, Completion and Records
The FTA explains that the digital deregistration certificate becomes available in EmaraTax after the relevant final-return, tax and administrative-penalty requirements are satisfied and the application is approved.
Keep the certificate, approved effective date, submitted application, returns, reconciliations, payment evidence and supporting records. Deregistration does not erase prior liabilities or the need to explain the transactions if the FTA later reviews them.
Continue to meet applicable record-retention rules after closure. Special cases or an ongoing review can require records for longer than a business initially expects; do not delete the archive merely because the registration is cancelled.
VAT Credits and Refunds
A credit balance does not automatically become a cash refund on deregistration. Check its recoverability, any offsets, the relevant application procedure and current claim or expiry time limits.
Use the official refund process where appropriate and keep the supporting evidence. Do not assume that deregistration preserves an otherwise expiring credit or that an unresolved credit eliminates the need to file the final return.
Late-Deregistration Penalties
The published administrative-penalty schedule, including the amendment effective April 14, 2026, provides for AED 1,000 on late submission, repeated on the same date monthly up to AED 10,000 for the late-deregistration application violation.
That cap is not a cap on every liability: unpaid VAT, late returns, late payment or other violations may have separate consequences. Earlier events, transitional rules and the actual FTA assessment require case-specific review. Deregistration does not automatically waive a penalty or remove tax due.
Because the application-deadline sources differ, seek clarification promptly instead of assuming the later date protects the business. English legislative versions may be unofficial; the Arabic legislation prevails.
Seven Common Deregistration Mistakes
- Assuming licence cancellation cancels VAT: the tax process is separate.
- Confusing deadlines: distinguish the application period, review estimate and final-return date.
- Forgetting the final return: stopped operations do not remove that obligation.
- Ignoring liabilities: tax and penalties do not disappear on application.
- Using inconsistent turnover: reconcile the accounts, returns and supporting schedules.
- Relying on one quiet month: review the relevant history, future tests and expense conditions.
- Discarding documents: preserve the tax archive and evidence of completion.
VAT Deregistration Checklist
- Confirm the registered person, reason, eligibility and relevant dates.
- Review the applicable 12-month history and future supply/expense conditions.
- Check any minimum period applying to an original voluntary registration.
- Resolve the applicable application deadline promptly; do not rely on the longer published figure without confirmation.
- Reconcile supplies, expenses, VAT returns and the accounting records.
- Review outstanding returns, tax, penalties, credits and refund time limits.
- Prepare closure, financial and authority documents applicable to the case.
- Arrange authorized EmaraTax submission and monitor FTA requests.
- Review the final Tax Period, asset/deemed-supply adjustments and payment due.

Frequently Asked Questions
1. What Is the VAT Deregistration Threshold?
AED 187,500 is relevant to low-turnover mandatory cases, while AED 375,000 is relevant to an eligible voluntary request. There is no single automatic cancellation test; review the period, forecasts, expenses and other conditions.
2. Is VAT Deregistration Mandatory?
It can be required in cessation or qualifying low-turnover cases. A temporary pause or one low-sales period alone is not a complete assessment.
3. How Many Days Do I Have to Apply?
The published regulation states 20 business days, while the current service page states 30. Act promptly, use the earlier period for conservative planning and obtain FTA confirmation; do not assume the discrepancy is an extension.
4. Can I Deregister Voluntarily?
Potentially, if the relevant conditions are met and the FTA approves. Check the 12-month restriction where the original registration was voluntary and confirm its application to the case.
5. Can a Closed Company Deregister?
Closure can be a basis for an application, subject to the applicable rules and evidence. Licence cancellation does not itself complete VAT deregistration or settle tax obligations.
6. Do I Need a Final VAT Return?
Yes. Review the final period and any adjustments, and file and pay by the applicable deadline. The service guidance states 28 days from the effective deregistration date; confirm the official due date.
7. Is the FTA Deregistration Service Free?
The official service is listed as free. Private preparation or advisory support can have separate fees agreed with the provider.
8. How Long Does FTA Review Take?
The current estimate is 30 business days from a completed application. Additional information requests can extend the process; approval in that period is not guaranteed.
9. Does Cancelling a Trade Licence Cancel VAT?
No. Review and complete the separate FTA process, including returns, payments and evidence of completion.
10. Can I Obtain a Deregistration Certificate?
The FTA describes a digital certificate in EmaraTax after the relevant final-return and outstanding-liability requirements are dealt with and the application is approved. Keep it with the supporting tax records.
